1. Introduction

These Terms and Conditions govern access to and use of the www.e-redes.pt website, for which E-REDES - Distribuição de Eletricidade, S.A. (hereinafter referred to as “E-REDES”), with registered office at Rua Camilo Castelo Branco, 43, 1050-044 Lisboa, is responsible. Any legal issues relating to the website can be consulted in the Privacy Policy and Cookie Policy sections, which are integral parts of these Terms and Conditions.

The use of this website shall be governed by the following Terms and Conditions. By using the website, the user is implicitly accepting such Terms and Conditions. If the user rejects these Terms and Conditions, they must cease using the website. 

E-REDES reserves the right to change or update these Terms and Conditions, either entirely or partially, as well as the Privacy Policy and the Cookie Policy. Any changes or updates to these Terms and Conditions, or to the Privacy Policy and Cookie Policy, will come into effect as soon as they are published in the respective section of the website. Users are advised to regularly consult the Terms and Conditions, Privacy Policy and Cookie Policy sections for the latest versions.

The website is exclusively intended for personal use and for promoting the activities of E-REDES.

E-REDES reserves the right to assess compliance with these Terms and Conditions by any user, at their discretion. Violation of these Terms and Conditions may result in the withdrawal of the usage license granted by E-REDES under the terms of this Clause 1, as well as the exercise of its rights to the fullest extent permitted by law. 

Users shall undertake to indemnify and exempt E-REDES, as well as its legal representatives, partners and employees, from any responsibility for damages, liabilities, claims or demands for compensation, including legal expenses and costs incurred by third parties, as a result of using the website not in compliance with these Terms and Conditions, and/or from violation of the conditions outlined in these Terms and Conditions, and/or as a result of non-compliance with the representations and warranties included in these Terms and Conditions.

2. License

Without prejudice to the remaining clauses of these Terms and Conditions, E-REDES authorises the use of this website exclusively for personal or informative purposes, as outlined in these Terms and Conditions. The usage license may be revoked by E-REDES at any time, at its discretion. In accordance with the law and these Terms and Conditions, users are not allowed to copy, use, transfer, lease, sublicense, change, adapt, attempt to modify or alter the source code, conduct reverse engineering, decompile or disassemble the contents of the website, entirely or partially. By accessing the website, users acknowledge and accept that its contents may be incomplete, inaccurate or out-of-date, or may not meet their needs and requirements.

3. Contents and Limitation of Liability of E-REDES

Accessing and using the website, including the display of web pages, are activities carried out by users.

Users are solely and exclusively responsible for the use of the website and its contents. E-REDES shall not be responsible or liable for misuse (if any) of the website that constitutes an infringement of the legal provisions in effect. 

More specifically, users shall be exclusively liable for the communication of any incorrect, false or third-party information or data without their consent, or for any misuse thereof. 

The contents of the website may contain inaccuracies or typos. E-REDES shall not be responsible, not may it be held accountable, in any way or by any means, for any inaccuracies, errors or damages (if any) caused by or resulting from the use of information derived from or obtained though the website by users. Users shall be solely and exclusively responsible for evaluating the information and contents obtained through the website.

E-REDES reserves the right to make changes to the website and the respective information and contents at any time, periodically and/or without prior notice.Given that users will download or obtain contents, by any means, at their sole discretion and risk, any eventual damages to computers or loss of data arising from downloading operations will be the exclusive responsibility of the users and cannot be attributed to E-REDES. E-REDES shall not assume responsibility for damages (if any) arising from the unavailability of website services or from data corruption (if any) due to viruses, damaged files, errors, omissions, service interruptions, content cancellation, issues related to the Internet, service providers or telephone and/or telematic connections, unauthorised access, data modifications, or absence and/or fault in users’ electronic devices.  

Users shall be responsible for the adequate safekeeping and use of their personal information, and for any damages or losses suffered by E-REDES or any third parties as a result of the incorrect use, loss or theft of personal information.

Registered users shall be responsible for the adequate safekeeping and use of the credentials required to access the reserved area of services. In these circumstances, users will be responsible for creating their username and password. Additionally, users shall be responsible for providing specific information, which should be accurate and up-to-date. Users are not allowed to choose a username belonging to a third party in order to use the identity of the latter. Similarly, users are not allowed to use the username of a third party without their express consent.

Users are required to ensure the confidentiality of their password and refrain from sharing it with third parties.

Users shall be entirely and exclusively responsible for any actions carried out through their user account, whether directly or through authorised third parties. E-REDES reserves the right to revoke the license, at any time and at its sole discretion, if any abusive, fraudulent or illegal activity is detected.

E-REDES has implemented adequate technical and organisational measures to ensure the security of the services provided through the website and protect the integrity of electronic traffic data against unauthorised use or access, as well as avoid the risks of dissemination, destruction or loss of the confidential or non-confidential data and information. This includes data contained in the website or associated with unauthorised access or failure to comply with the applicable legal provisions.

E-REDES does not and cannot guarantee that the website will be free of viruses or any other element that may compromise the technology.

4. Website Access. Interruption and Suspension

E-REDES spares no effort to ensure continuous access to the website. However, access may be suspended, limited or interrupted at any time, for any reason. Occasional limitations to website access may occur in order to enable the recovery, maintenance or introduction of new features or services. E-REDES will undertake every effort to restore access as soon as possible. E-REDES reserves the right to block access to any material and/or remove any material that, in its opinion, may result in a violation of these Terms and Conditions.

E-REDES reserves the right to terminate the accounts of any users who violate these Terms and Conditions, including cases where users are found to use proxy IP addresses to conceal multiple accounts, falsify their location to another country, or cause any disruption to website operation, by any means.

 

5. Personal Data Protection

Users are advised to read and review the Privacy Policy, which constitutes an integral part of these Terms and Conditions, in order to understand how the website collects and uses their personal data and for what purposes.

6. Intellectual Property Rights

All rights reserved. The website and the respective contents, including but not limited to, articles, opinions, other texts, lists, user manuals, photos, drawings, images, video or audio clips or marketing texts, as well as trademarks, logos, domain names and any other elements that may be protected by property rights (including source code) and/or any other intellectual property rights (hereinafter referred to as “Materials”) are the property of E-REDES or third parties, and are protected against unauthorised use, copying or disclosure by national laws and international treaties related to Intellectual Property Rights. None of the provisions included in the Terms and Conditions and/or the contents of the website may be interpreted as implicitly granting, accepting or in any way licensing the right to use any of the Materials, by any means, without the prior written consent of E-REDES or the owner or holder of the intellectual property rights concerning the Materials published on the website. The use, copy, reproduction, alteration, republication, updating, downloading, emailing, transmission, distribution, duplication or any other misuse of the Materials not specifically identified is prohibited. Website users undertake not to use the Materials for illegal purposes or infringe the rights of E-REDES.

However, users are authorised to view and display website contents and/or the Materials on a computer screen, store such contents in digital format on the hard drive (but not on a server or memory device connected to the Internet) or print a copy of such contents for personal, non-commercial use, while maintaining all information related to intellectual property rights.

Access to the website does not grant the users any rights over the contents made available by E-REDES.

7. Links to Other Websites

In the event that the website includes links to third-party websites or contents (“Other Websites”), E-REDES hereby informs the users that the provision of links to Other Websites is exclusively intended for informative purposes and user convenience. E-REDES does not control Other Websites and is therefore not responsible for any Other Websites or the respective contents or products (including, without being limited to, references to social networks), and shall not be liable for any damages or losses resulting from the use of Other Websites or the processing of the personal data of users during Internet browsing. Users will be solely responsible and assume all risks when accessing Other Websites through the links included in the E-REDES website.

Therefore, users should be particularly cautious when accessing Other Websites through the links included in the E-REDES website and carefully read the respective terms and conditions and privacy policies.

8. User Representations and Warranties

The user acknowledges and declares that they:

a) have read and understood these Terms and Conditions;

b) will refrain from reproducing, duplicating, copying, selling, reselling or commercially exploiting the website or its contents, or any part thereof, by any means, as well as refrain from using or reproducing the trademarks or any intellectual or industrial property rights of E-REDES;

c) will not publish or use false, insulting or defamatory information;

d) will refrain from using, directly or indirectly, the services or the website for purposes contrary to the law or not in accordance with the principles contained in these Terms and Conditions;

e) will not propagate viruses, spyware, adware, rootkit, backdoors, Trojan viruses or other similar computer threats;

f) will not use software or other automatic or manual mechanisms to copy or gain control of the website or its contents.

9. Miscellaneous Provisions

Any provision included in these Terms and Conditions that may be deemed null and void shall be considered deleted, while all remaining provisions will remain in full force and effect.

This contract shall be governed by Portuguese law and interpreted in accordance with Portuguese legislation and in compliance with the contracts signed and executed in this country. In the absence of an amicable agreement between the parties, any conflicts and disputes, of any nature, related to the signature, execution or interpretation of this Contract shall be definitively resolved by the Judicial Courts of Lisbon, with express waiver of any other.
